Terms of Service

1. Agreement
These Terms of Service (the “Terms”) are a binding agreement between you and Lomuscio Labs (“Lomuscio Labs,” “we,” “us,” or “our”) for your access to and use of HiveCheck at hivecheck.ai and any related pages, tools, and content (together, the “Service”). By creating an account, signing in, subscribing, or otherwise using the Service, you confirm that you are at least 18 years old, that you can enter into a binding contract, and that you have read and agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization (for example, a search firm), you also confirm that you are authorized to bind that organization, and “you” includes that organization.
2. What HiveCheck is
HiveCheck compiles and analyzes public data about U.S. independent (private, non-profit) K–12 schools — IRS Form 990 filings, U.S. Census (ACS) demographics, Bureau of Labor Statistics wage and employment data, Bureau of Economic Analysis regional-income data, HUD housing data, and the National Center for Education Statistics Private School Universe Survey — and presents it alongside our own compilation, normalization, matching, and analytical views (together, “HiveCheck Content”).
Informational only. HiveCheck Content is for general information. It is not financial, investment, legal, tax, accounting, employment, admissions, or accreditation advice, and it is not a recommendation to accept, decline, apply for, or leave any role or engagement. Any decision you make in reliance on the Service is your own. Talk to qualified professionals for advice specific to your situation.
3. Accounts
You need an account to use most of the Service. You agree to provide accurate information, keep your login credentials confidential, and let us know at contact@hivecheck.ai if you believe your account has been compromised. You are responsible for what happens under your account.
4. Subscriptions, billing, and cancellation
Paid subscriptions are annual and are billed in advance at the price shown at checkout. Stripe processes the payment; your card details are handled by Stripe under Stripe’s own terms and privacy notice. Fees do not include sales, use, VAT, or similar taxes, which are your responsibility where they apply.
Auto-renewal. Unless you cancel before your renewal date, your subscription automatically renews for another one-year term at the then-current published price for your plan, using the payment method on file. Before each renewal we send a reminder to the email address on your account.
Cancellation. You may cancel auto-renewal at any time from your account page or through the Stripe customer portal. Cancellation stops future renewals; it does not shorten your current paid term, and it does not by itself entitle you to a refund of the current term (see Section 5).
Failed payments. If a payment fails, we may suspend access until the payment is resolved.
5. Refunds
HiveCheck is a digital information product; each report is delivered the moment you open it. Because value is delivered on view, subscription fees are not refundable once access to a paid report has been granted. Before you subscribe you can evaluate the Service using our free demo report and the free previews we show for every school in the coverage set.
We will refund a charge, or the affected portion of one, if:
- it is a duplicate charge or a billing error attributable to us or to our payment processor, or
- a non-waivable statutory right requires a refund in your specific circumstances (see the savings clause below).
Where only part of a term has been used and only part of the fee is owed back — for example, a duplicate charge for a partial period — we will issue a partial refund for the affected portion.
Statutory rights savings clause. Nothing in this Section 5 limits any refund, cancellation, or other consumer right that cannot be waived under the law that applies to you. Where a non-waivable statutory right (for example, a state consumer-protection rule in your state of residence) conflicts with this section, the statutory right controls.
To request a refund under this section, email contact@hivecheck.ai with your account email, the date of the charge, and a brief description of the issue.
6. Individual license
If you subscribe on an individual plan, we grant you a limited, personal, non-exclusive, non-transferable license to access and use the Service and HiveCheck Content for your own professional or personal diligence — for example, evaluating a school as a candidate for a role, as a trustee reviewing your board’s peers, or as a parent researching a school for your family.
Under the individual license you MAY:
- view, save for your own reference, and print reports for your personal use;
- share short, clearly-attributed excerpts — for example, a single figure or a quoted sentence — in private conversations about your own career (for instance, a note to a spouse, a mentor, or a search consultant who is advising you personally), keeping the HiveCheck source line intact.
Under the individual license you MAY NOT:
- redistribute a full report to anyone else;
- share, transfer, or resell your login, or let someone else use your account.
7. Team license
A team subscription is a per-seat annual license for firms and practices whose members use HiveCheck to advise third-party clients — for example, executive-search firms, board-search practices, transition consultants, and independent-school advisors. Each seat is a named person, identified by their work email and invited by the team administrator. Seats are not shared, pooled, or rotated. If someone leaves, you may reassign their seat to a replacement.
Under the team license a seat holder MAY:
- research, view, save for working reference, and print HiveCheck reports for the seat holder’s professional work;
- share a full HiveCheck report with the specific candidate or client that the seat holder is advising in that engagement, keeping HiveCheck’s attribution and source lines intact. The candidate or client receives the report for use in that single engagement only — not a general right to redistribute the report themselves.
Under the team license, your firm and your seat holders MAY NOT publicly republish HiveCheck Content (see Section 8), resell or sublicense the Service (Section 8), or otherwise use the Service outside the scope described above.
The team administrator manages seat assignments and is responsible for making sure seat holders comply with these Terms. Your firm is jointly responsible with each seat holder for that seat holder’s use of the Service.
8. Things nobody may do
Regardless of your plan, you and anyone using the Service through your account or seat may not:
- scrape, crawl, spider, harvest, or bulk-download the Service or any HiveCheck Content, by any automated or manual means;
- systematically copy, mirror, cache beyond ordinary browser use, or otherwise re-host material portions of HiveCheck Content;
- resell, sublicense, bundle, or otherwise commercialize the Service, HiveCheck Content, or any dataset, score, or product derived from HiveCheck Content;
- build derivative datasets, indices, scores, rankings, or analytical products from HiveCheck Content;
- use HiveCheck Content to train, fine-tune, evaluate, ground, or otherwise develop any AI, machine-learning, large-language-model, retrieval, or automated-analytics system;
- share, transfer, or use another person’s account credentials;
- circumvent, disable, or interfere with any paywall, rate limit, watermark, authentication, or security feature of the Service.
Violations may result in immediate suspension or termination of your account and, for organizations, of every seat under your subscription.
9. Intellectual property
The underlying data we draw on is public — IRS Form 990 filings are public records, and U.S. Census, BLS, BEA, HUD, and NCES data are U.S. government works — and we make no ownership claim over the raw public data itself. We do own, and reserve all rights in, our compilation, cleaning, normalization, matching, methodology, analytics, presentation, charts, text, code, and brand, taken as a whole, as a compilation and derivative work under U.S. copyright and other applicable laws.
“HiveCheck” is a trademark of Lomuscio Labs. Where HiveCheck shows public-source data, we name the source (for example, “Source: IRS Form 990” or “Source: U.S. Census Bureau, ACS 5-Year Estimates”). If you share a permitted excerpt under Section 6 or Section 7, please keep the source line intact and identify HiveCheck as the compiler.
10. Data accuracy disclaimer
HiveCheck Content is compiled from public data that is often lagged or later revised by the issuing agency and can contain errors. THE SERVICE AND ALL HIVECHECK CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. Inclusion of a school in the coverage set is not an endorsement of that school and is not an evaluation of its operations, leadership, or fitness for any purpose. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LOMUSCIO LABS, ITS AFFILIATES, OR ANY OF ITS OWNERS, EMPLOYEES, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITY, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the limitation or exclusion of certain damages, so parts of this section may not apply to you; in that case, our liability is limited to the smallest amount the law permits.
12. Indemnification (team subscribers only)
If you subscribe on a team plan, you agree to cover our reasonable costs — including reasonable attorneys’ fees — if a third party brings a claim against us because one of your seat holders misused a HiveCheck report the seat holder shared under Section 7 (for example, redistributed it beyond the single engagement the license allows, or used it in a way Section 8 prohibits). We will let you know promptly about any such claim and give you reasonable control over its defense, and we will not settle any claim covered by this section without your consent (which will not be unreasonably withheld). Individual subscribers are not subject to this section.
13. Termination
You may stop using the Service at any time and may cancel auto-renewal from your account page. We may suspend or terminate your access, in whole or in part, if we reasonably believe you have violated these Terms, if we are required to by law, or on reasonable notice for any material change to or discontinuation of the Service. If we terminate a paid subscription without cause, we will refund the unused, prepaid portion of the current term on a pro-rata basis; termination for cause does not entitle you to a refund. Sections 5–12, and any other section that by its nature should survive, will survive termination.
14. Changes to these Terms
We may update these Terms from time to time. If we do, we will post the updated Terms on hivecheck.ai and update the “Last updated” date. For changes that meaningfully affect your rights, we will give at least 30 days’ advance notice by email to the address on your account, by a prominent in-product notice, or both. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of them. If you do not agree, your remedy is to stop using the Service and, for paid subscribers, to cancel auto-renewal.
15. Governing law and venue
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state and federal courts located in Buncombe County, North Carolina, and you consent to the personal jurisdiction of those courts.
16. Miscellaneous
These Terms, together with the Privacy Policy and any order form or checkout page you accept, are the entire agreement between you and Lomuscio Labs about the Service, and they supersede any prior understandings on the same subject. If a provision of these Terms is held unenforceable, the rest stays in effect and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us should go to contact@hivecheck.ai; notices to you may be sent to the email address on your account or posted in the Service.
